Incorporation of Hong Kong Limited Company
To incorporate a company, a company name may not be identical with that of an existing company.
Prior to incorporation, a company name search must be conducted as to the availability of the proposed name.
Kindly advise us the proposed company name(s) and we will check the availability.
If the proposed name is available for registration, a Company can be incorporated by sending to the Registrar of Companies Articles of Association and Incorporation Form (Form NNC1) signed by the a initial Subscriber(s) and first Director(s).
The incorporation takes place when the Registrar of Companies issues a Certificate of Incorporation and it normally takes 6 working days after filing the abovementioned documents.
As for e-filing, the incorporation normally takes 3 working days whilst the Subscriber must be our associated company.
We will then arrange for transfer of shares from our associated company to your proposed Shareholder(s).
The names and personal particulars of the Director(s), Company Secretary and Shareholder(s) must be filed with the Companies Registry.
Every company must have at least 1 Director, 1 Shareholder and a Company Secretary and it must have a Registered Office in Hong Kong.
If our service is required, please provide us with the name and residential address of the Director(s) and the percentage of the Shareholder(s) with copies of the following documents for our further action:-
